In a document filed with the U.S. Securities and Exchange Commission this Thursday (30), Electronic Arts said that all regulatory approvals required to complete the merger have been obtained and that the deal is expected to close by the end of business on August 4.
The agreement, announced in September last year, involves the sale of the company for $55 billion in cash to a consortium made up of the Saudi Public Investment Fund, Silver Lake, and Affinity Partners, founded by Jared Kushner.
The completion was originally scheduled for June 30, but the process remained tied to regulatory approvals in recent months, including reviews by the Committee on Foreign Investment in the United States (CFIUS) and regulators in Europe and Asia. Once finalized, EA is expected to keep its headquarters in Redwood City, California, and continue to be led by Andrew Wilson as CEO.
Structured as a leveraged buyout (LBO), the transaction is the largest in the history of the video game industry. The deal involves more than $20 billion in debt financing, which will be assumed by EA after closing. That means the company will carry liabilities of more than $20 billion on its balance sheet — EA’s debt currently stood at about $1.49 billion in March 2026.
The agreement is still subject to customary closing conditions, but EA has already said it expects to complete the transaction next week.
